1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

AeonHQ is an AI-powered business automation platform that provides:

• AI agents for customer communication across chat, SMS, voice, email, WhatsApp, and iMessage channels.
• Lead management, CRM integration, and sales pipeline tools.
• Outbound lead generation including prospect sourcing, AI classification, and automated outreach sequences.
• Social media content management and scheduling.
• Property management tools including maintenance tracking, rent collection, and contractor coordination.
• Calendar and appointment scheduling with third-party calendar integration.
• Analytics dashboards and operational reporting.

We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of material changes in advance.

3. Account Terms

• You must provide accurate and complete information when creating an account. You are responsible for maintaining the accuracy of your account information.
• You are responsible for maintaining the security of your account credentials. You must not share your login credentials with unauthorized individuals.
• You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
• Each account is provisioned as a tenant with isolated data. You must not attempt to access another tenant's data or resources.
• You must be at least 18 years old to create an account and use the Service.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
• Send unsolicited messages (spam) through the platform's communication channels, or violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or similar regulations.
• Attempt to bypass rate limits, authentication controls, or tenant isolation mechanisms.
• Reverse-engineer, decompile, or disassemble any part of the Service, or attempt to extract source code or AI model weights.
• Upload or transmit malicious code, viruses, or any material that could damage or interfere with the Service.
• Misrepresent AI-generated communications as human-generated where disclosure is legally required.
• Use the Service to harass, abuse, or harm any individual, or to generate content that is hateful, violent, or discriminatory.
• Resell, sublicense, or redistribute access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, depending on the severity of the violation.

5. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by LZ Technology LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of all data, content, and materials you upload to or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to use, process, store, and display Your Content solely to operate and improve the Service for you.

6. AI-Generated Content

The Service uses artificial intelligence to generate text, voice responses, email content, social media posts, and other outputs ("AI Content"). You acknowledge that:

• AI Content is generated algorithmically and may contain errors, inaccuracies, or inappropriate responses despite our safeguards.
• You are responsible for reviewing AI Content before it is sent to your customers or published on your behalf, particularly for scheduled or automated outputs.
• We do not guarantee the accuracy, completeness, or appropriateness of AI Content for any specific purpose.
• You are responsible for compliance with disclosure requirements in your jurisdiction regarding the use of AI in customer communications.
• AI Content should not be relied upon as legal, financial, medical, or other professional advice.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in that policy.

You are responsible for obtaining appropriate consent from your own customers before collecting and processing their personal information through the Service, including through AI agent interactions, lead generation, and messaging channels.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI AGENTS MAY PRODUCE INACCURATE OR UNEXPECTED RESPONSES.
• IN NO EVENT SHALL LZ TECHNOLOGY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
• OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless LZ Technology LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or violation of these Terms.
• Your Content or data you upload, transmit, or process through the Service.
• Your violation of any applicable law or regulation, including TCPA, CAN-SPAM, or data protection laws.
• Your use or distribution of AI-generated content produced through the Service.
• Any dispute between you and your customers arising from communications sent through the Service.

10. Termination

Either party may terminate this agreement at any time. You may cancel your account by contacting us at [email protected].

We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law.

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account and data after a 30-day grace period, unless you request an earlier deletion or data export; (c) provisions that by their nature should survive termination (including Sections 5, 6, 8, 9, and 11) will remain in effect.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in the State of Georgia, and you consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days after written notice of the dispute.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For significant changes, we may also provide notice via email or through the dashboard. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service and may request account termination.
